These Terms and Conditions (“Terms”) govern your access to and use of the website https://techcognia.com (“Website”) and any related consulting services, advisory services, digital solutions, training programs, certifications, content, or offerings (collectively, the “Services”) provided by TechCognia (OPC) Private Limited (“TechCognia,” “Company,” “we,” “us,” or “our”).

By accessing or using the Website, purchasing any Services, or completing a transaction through the Website, you agree to be bound by these Terms. If you do not agree, you must not access or use the Website or Services.

1. Definitions

  • “User” means any individual or entity that accesses or uses the Website or Services.
  • “Services” means all consulting services, advisory services, training programs, certifications, digital solutions, tools, products, and features offered by TechCognia.
  • “Content” means all text, graphics, images, videos, documents, materials, and information made available on the Website.

2. Use of the Website and Services

You agree to use the Website and Services only for lawful purposes and in compliance with these Terms and applicable laws and regulations.

You must not:

  • Attempt to gain unauthorized access to systems or networks
  • Interfere with or disrupt the integrity, security, or performance of the Website
  • Introduce malware, viruses, or other harmful code
  • Scrape, harvest, or extract data without authorization
  • Use the Website or Services for fraudulent, misleading, or unlawful activities

TechCognia reserves the right to suspend or terminate access to the Website or Services for violations of these Terms.

3. Services and Professional Engagements

TechCognia provides professional consulting, advisory, training, and digital services through formal engagements governed by written agreements, statements of work, or service contracts.

Any information, content, or materials made available on the Website that are not provided under a written agreement are offered for general informational purposes only and should not be relied upon as professional advice specific to your circumstances.

Professional advice, recommendations, or deliverables provided as part of a contracted engagement are governed by the applicable written agreement. In the event of any conflict between these Terms and a written service agreement, the service agreement shall prevail.

4. Intellectual Property

4.1 Ownership of TechCognia Intellectual Property

All intellectual property rights in and to the Website, Services, and all content, materials, methodologies, frameworks, templates, presentations, training materials, documentation, software, designs, and works created, developed, or provided by TechCognia (collectively, “TechCognia IP”) are and shall remain the exclusive property of TechCognia or its licensors.

Except as expressly permitted in writing, nothing in these Terms grants you any right, title, or interest in or to TechCognia IP, whether by implication, estoppel, or otherwise.

4.2 Licensed and Third-Party Intellectual Property

Certain Services may incorporate or reference third-party intellectual property, including but not limited to Agile, SAFe®, Scrum®, certification frameworks, trademarks, or training materials owned by third parties (“Third-Party IP”).

All Third-Party IP remains the exclusive property of its respective owners and is used by TechCognia under license, authorization, or applicable lawful use. No ownership or license rights in Third-Party IP are transferred to you under these Terms.

Use of such Third-Party IP is subject to the applicable terms, conditions, and policies of the respective rights holders.

4.3 Pre-Existing IP and Client Deliverables

Unless expressly agreed otherwise in a written agreement:

  • All intellectual property owned or developed by TechCognia prior to or independent of a client engagement (“Pre-Existing IP”) shall remain the sole property of TechCognia.
  • Client-specific deliverables created under a paid engagement may be licensed to the client for internal business use only, subject to the applicable agreement.
  • No assignment or transfer of ownership is implied or granted.
4.4 Restrictions on Use

You shall not, without prior written consent:

  • Copy, reproduce, modify, distribute, publish, sublicense, sell, rent, or exploit any TechCognia IP
  • Remove proprietary notices
  • Reverse engineer or create derivative works
  • Use training or licensed materials beyond the permitted scope
4.5 Client Names, Logos, and References

Subject to confidentiality obligations and unless restricted by written agreement, TechCognia may identify clients by name and/or logo for reference, marketing, or promotional purposes.

Any restriction on such use must be expressly agreed in writing.

4.6 Survival

This Intellectual Property section shall survive termination or expiration of these Terms.

5. User Submissions

If you submit content to the Website (including feedback, comments, reviews, or inquiries):

  • You grant TechCognia a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute such content for business and operational purposes.
  • You represent that you have the necessary rights to submit such content.
  • You agree not to submit content that is unlawful, defamatory, infringing, or objectionable.

6. Privacy and Data Protection

Your use of the Website and Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data in accordance with applicable laws, including the Digital Personal Data Protection Act, 2023 and, where applicable, the GDPR.

7. Third-Party Services and Links

The Website may contain links to third-party websites or services. TechCognia does not control or endorse such services and is not responsible for their content or practices.

8. Disclaimers

To the fullest extent permitted by law:

  • Website content outside a written agreement is provided “as is” for general informational purposes only.
  • TechCognia makes no guarantees regarding outcomes, certifications, business improvements, or results unless expressly agreed in writing.
  • Training participation does not guarantee certification; certification outcomes are governed by the respective accreditation bodies.
  • TechCognia disclaims responsibility for third-party tools, platforms, or technologies.
  • All implied warranties are expressly disclaimed.

9. Limitation of Liability

To the maximum extent permitted by law:

  • TechCognia shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business, data, or goodwill.
  • TechCognia’s total aggregate liability shall not exceed the lower of:
    • Fees paid by you for the specific Service during the six (6) months preceding the claim, or
    • INR 50,000.

These limitations form an essential basis of the agreement.

10. Indemnification

You agree to defend, indemnify, and hold harmless TechCognia and its affiliates from claims arising from:

  • Your use or misuse of the Website or Services
  • Violation of these Terms or applicable laws
  • Infringement of third-party rights
  • Reliance on Website content outside a written agreement
  • Misuse of licensed or training materials

TechCognia may assume exclusive control of the defense of such claims.

11. Refunds, Cancellations & Rescheduling

All refunds, cancellations, rescheduling requests, and related conditions are governed by the Refund, Cancellation & Rescheduling Policy, which is incorporated herein by reference and forms a part of these Terms and Conditions.

By making a payment on the website, you expressly agree to be bound by the Refund, Cancellation & Rescheduling Policy in effect at the time of purchase.

12. Payments, Checkout Acceptance, and Payment Gateway Terms

By completing a purchase through the Website (including via WooCommerce), you confirm acceptance of these Terms, the Privacy Policy, and any product-specific terms.

Payments are processed via authorized third-party payment gateways. TechCognia does not store full payment card or banking details and is not responsible for gateway-related failures beyond its control.

13. Termination

TechCognia may suspend or terminate access for violations of these Terms. Accrued rights and obligations survive termination.

14. Modifications to the Terms

TechCognia may update these Terms from time to time. Continued use after updates constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India.
Courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction.

17. Survival, Severability, and Non-Dilution

The intellectual property, disclaimers, limitation of liability, indemnification, payment, and governing law provisions shall survive termination.

Operational provisions relating to payments, refunds, checkout, or delivery shall not limit or override the intellectual property, disclaimers, limitation of liability, or indemnification provisions of these Terms.

If any provision is held unenforceable, the remaining provisions shall remain in full force.
